1. Agreement to Terms

By accessing or using FarmCop ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and FarmCop. By creating an account, you represent that you have read, understood, and agree to be bound by these Terms.

2. Service Description

FarmCop is a web-based farm cost tracking and analysis software designed to help agricultural operators track production costs, calculate breakeven prices, and generate reports for their farming operations.

The Service allows users to input data related to fields, crops, seeds, fertilizers, chemicals, insurance, rent, and other farm expenses to calculate cost of production and breakeven analysis.

3. Account Terms

  • You must be at least 18 years of age or the legal age of majority in your jurisdiction to use this Service.
  • You must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the security of your account and password.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • One person or legal entity may maintain only one account.
  • You may not use the Service for any illegal or unauthorized purpose.

4. Subscription and Payment

Subscription Fee

The Service is offered on a monthly subscription basis at $16.99 per month ("Subscription Fee"). All fees are quoted in U.S. dollars and are non-refundable except as expressly set forth in these Terms.

Billing

Your subscription will automatically renew each month until you cancel. You authorize us to charge your payment method on file for the applicable Subscription Fee each billing period.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until the end of your paid period. No refunds will be provided for partial months.

Price Changes

We reserve the right to change our Subscription Fee with at least 30 days' notice. Price changes will take effect at the start of your next billing period following the notice. Your continued use of the Service after a price change constitutes acceptance of the new price.

5. User Data

Data Ownership

You retain all ownership rights to the data you enter into the Service ("User Data"). FarmCop does not claim any ownership interest in your User Data.

Data Export

You may export your User Data at any time in standard formats (PDF, CSV) while your account is active.

Data Deletion

Upon account termination or your written request, we will delete your User Data within 30 days. Backups may be retained for up to 90 days for disaster recovery purposes before permanent deletion.

Aggregated Data

We may use anonymized, aggregated data that does not identify you or your operation for product improvement, research, and analytics purposes.

6. Acceptable Use

You agree to use the Service only for legitimate farm business purposes and not to:

  • Attempt to gain unauthorized access to the Service or its systems
  • Share your account credentials with others
  • Use automated tools, bots, or scrapers to access the Service
  • Interfere with or disrupt the Service or servers
  • Transmit viruses, malware, or other harmful code
  • Use the Service for any illegal purpose or in violation of any laws
  • Impersonate another person or entity
  • Resell, sublicense, or redistribute the Service

7. Intellectual Property

FarmCop and its licensors retain all intellectual property rights in the Service, including software, design, trademarks, and content. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription.

You retain ownership of your User Data. By using the Service, you grant FarmCop a limited license to store, process, and display your User Data solely for the purpose of providing the Service to you.

8. Disclaimers

Not Professional Advice

The Service provides tools and calculations to assist with farm cost tracking. It does not constitute financial, legal, tax, or agricultural advice. You should consult with qualified professionals for advice specific to your situation.

Calculation Accuracy

While we strive for accuracy, the calculations and reports generated by the Service are tools to assist your decision-making, not guarantees. The accuracy of outputs depends on the accuracy of the data you provide. You are responsible for verifying results and making your own business decisions.

"As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FARMCOP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL FARMCOP'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Farm management decisions, including those informed by data from this Service, remain your sole responsibility. We are not liable for the outcomes of your farming or business decisions.

10. Indemnification

You agree to indemnify, defend, and hold harmless FarmCop and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may terminate your account at any time by canceling your subscription and closing your account through the account settings.

We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. We may also terminate accounts that remain inactive for an extended period.

Upon termination, you will have 30 days to export your User Data. After this period, your data will be deleted in accordance with our data retention policies.

Any fees owed at the time of termination remain due and payable.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Illinois, and you consent to the personal jurisdiction of such courts.

Before initiating any formal dispute resolution, you agree to first contact us at support@farmcop.com to attempt to resolve the matter informally.

13. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or through the Service before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.
